Section 33-14-310 - Procedure for judicial dissolution(a) Venue for a proceeding to dissolve a corporation lies in the county where a corporation's principal office (or, if none in this State, its registered office) is or was last located.(b) It is not necessary to make shareholders parties to a proceeding to dissolve a corporation unless relief is sought against them individually.(c) A court in a proceeding brought to dissolve a corporation may issue injunctions, appoint a receiver or custodian pendente lite with all powers and duties the court directs, take other action required to preserve the corporate assets wherever located, and carry on the business of the corporation until a full hearing can be held.(d) In any action filed by a shareholder to dissolve the corporation on the grounds enumerated in Section 33-14-300, the court may make such order or grant such relief, other than dissolution, as in its discretion is appropriate, including, without limitation, an order: (1) canceling or altering any provision contained in the articles of incorporation, or any amendment to the articles, or in the bylaws of the corporation;(2) canceling, altering, or enjoining any act or resolution of the corporation;(3) directing or prohibiting any act of the corporation or of shareholders, directors, officers, or other persons party to the action; or(4) providing for the purchase at their fair value of shares of any shareholder, either by the corporation or by other shareholders.(e) The relief authorized in subsection (d) may be granted as an alternative to a decree of dissolution or may be granted whenever the circumstances of the case are such that the relief, but not dissolution, is appropriate.1988 Act No. 444, Section 2; Repealed, 1988 Act No. 444, Section 4(1)]; 1981 Act No. 146, Section 2; 1962 (52) 1996; Repealed, 1988 Act No. 444, Section 4(1)], and Section 33-21-230 [1962 Code Section 12-22.23; 1981 Act No. 146, Section 2; 1962 (52) 1996; Repealed, 1988 Act No. 444, Section 4(1)], Section 33-21-190 [1962 Code Section 12-22.19; 1981 Act No. 146, Section 2; 1962 (52) 1996; 1922 (32) 1026; 1932 Code Section 7725; 1942 Code Section 7725; 1952 Code Sections 12-651, 12-652; Repealed, 1988 Act No. 444, Section 4(1)], Section 33-21-160 [1962 Code Section 12-22.16; Derived from 1976 Code Section 33-21-155 [1981 Act No. 146, Section 2.
