There has been no prior uniform act on investment securities. Under previous law bonds were negotiable only if they complied with all the requirements of a negotiable note under the Uniform Negotiable Instruments Law. Stock certificates, prior to the passage of the Uniform Stock Transfer Act, were regarded only as personal property and not as negotiable instruments. It is the
purpose of this Article of the Commercial Code to give certain characteristics of negotiability, and hence greater rights to the holder, of instruments which are commonly dealt with as investment securities.
