Having reviewed the Report and Recommendation of the Honorable S. Kate Vaughan, United States Magistrate Judge, any objections or responses, and the remaining record, the Court finds and ORDERS:

(1) The Court ADOPTS the Report and Recommendation;

(2) Defendant's Motion to Dismiss, Dkt. 9, is GRANTED;

(3) This matter is DISMISSED with prejudice under Federal Rule of Civil Procedure 12(b)(1) for lack of subject matter jurisdiction; 1

(4) The Clerk is directed to send copies of this order to the parties and to the Honorable S. Kate Vaughan. 2
