STIPULATION OF DISMISSAL


The remaining parties to this action, the United States and James R. Spencer, agree that the amount paid to the Internal Revenue Service and credited to the tax liabilities of James R. Spencer shall be accepted by the United States in full satisfaction of the outstanding tax liabilities of James R. Spencer at issue in this lawsuit. The United States and James R. Spencer further agree that this action shall be dismissed with prejudice.

IT IS SO ORDERED.
