ORDER


Pending before the Court is State Street Bank Trust Company's ("State Street's") Petition of Interested Party: Objections and Comments to Proposed Partial Settlement (instrument #785). State Street, pursuant to an agreement with Enron Corporation that was approved by the Enron Bankruptcy Court of the Southern District of New York, the Honorable Arthur Gonzalez, to serve as the independent fiduciary of the Enron Savings Plan, the Enron ESOP, and the Enron Cash Balance Plan, seeks permission to appear to fulfill its independent fiduciary duty to the Enron plans and their participants and beneficiaries. Although there is opposition to State Street's objections and comments, which will be addressed by the Court in a separate order, no party has opposed State Street's petition to appear before the Court as in interested party in this action.

Accordingly, the Court

ORDERS that State Street's petition to appear in Tittle as an interested party (#785) is GRANTED.
