          STIPULATION AND ORDER FOR DISMISSAL

          WILLIAM HASKELL ALSUP, District Judge.

         IT IS HEREBY STIPULATED by and between the parties to this action through their counsel that the above-captioned action be dismissed with prejudice pursuant to FRCP 41 (a)(1) with each party to bear its own attorneys fees and costs.

         The Court will retain jurisdiction to enforce the settlement agreement for only 90 days.

         ORDER

         The case management conference, currently scheduled for SEPTEMBER 22, 2005 AT 2 P.M., is VACATED. IT IS SO ORDERED.
