ORDER


AND NOW, this ___ day of July, 2003, after consideration of Defendants' Motion to Dismiss Plaintiff's Amended Complaint, and Plaintiff's Motion to Dismiss Defendant Locke Property's Counterclaim, and the responses thereto, it is hereby ORDERED that:

1. Defendants' Motion to Dismiss Plaintiff's Amended Complaint is DENIED;
2. Plaintiff's Motion to Dismiss Defendant Locke Property's Counterclaim is GRANTED, IN PART, AND DENIED, IN PART. Specifically, Counts VI (Breach of the Covenant of Good Faith and Fair Dealing), X (Civil Conspiracy), XI (Failure of Essential Purpose) and XII (Novation) of the Counterclaim are hereby DISMISSED.
