STIPULATION


It is hereby stipulated by and between John A. Bender, Esquire, counsel for Merril Lynch, Pierce, Fenner Smith Inc., and Lawrence R. Cock, Esquire, counsel for Defendants Kevin I. Patrick and Peter J. Wicklund, that the Temporary Restraning Order entered by the Court on January 10, 2003 shall be extended until January 31, 2003 or until a National Association of Securities Dealers Arbitration Panel issues its ruling on Merrill Lynch's motion for permanent injunctive relief pursuant to Rule 10335 of the NASD Code of Arbitration Procedures. The Parties further agree that they will notify the Court on January 31, 3002 if the scheduling of a Preliminary Injunction hearing is necessary due to delays in the NASD arbitration process.
