ORDER


For the reasons stated in the memorandum opinion, separatelyand contemporaneously issued, the Defendant's motion to dismiss is GRANTED. The complaint is DISMISSED WITH PREJUDICE. In light of this disposition, the Plaintiff's motion for appointment of counsel is DENIED.

SO ORDERED.
