ORDER
This 25th day of April 2002, having carefully considered the appellant's opening brief, the appellees' motion to affirm, and the record below, we find it manifest on the face of the opening brief that the appeal is without merit and that the judgment below should be affirmed on the basis of, and for the reasons stated in, the Court of Chancery's well-reasoned opinion dated December 7, 2001. There is sufficient evidence in the record to support the Court of Chancery's factual findings, and the court did not err in its application of the law to the facts.
NOW, THEREFORE, IT IS ORDERED that the judgment of the Court of Chancery is AFFIRMED.
