         STIPULATION

         IT IS HEREBY STIPULATED by and between the parties hereto that this action, in its entirety, shall be dismissed with prejudice as to all parties, pursuant to Fed.R.Civ.P. Rule 41(a)(1), with each party to bear its own attorneys' fees and costs. This stipulation is made as the matter has been resolved to the satisfaction of all parties.

          ORDER

         This action, in its entirety, is hereby ordered dismissed with prejudice, with each party to bear its own attorneys' fees and costs.
