STIPULATION AND ORDER

ARTHUR GONZALEZ, Bankruptcy Judge

WHEREAS, on January 20, 2003, Interactive Voice Data Systems, Inc. ("IVDS") filed proof of claim no. 17022 (the "Proof of Claim") against Debtor MCI Communications Corp. in the estimated amount of $2.5 million; and

WHEREAS, on October 15, 2004, the Debtors filed an objection to the Proof of Claim; and

WHEREAS, the Debtors now wish to file a supplemental objection (the "Supplemental Objection") to the Proof of Claim; and

WHEREAS, in their Supplemental Objection the Debtors will discuss the pertinent provisions of, as well as attach, two confidential agreements (the "Sandata Documents") entered into by the Debtors with unrelated third-party Sandata, Inc. ("Sandata"); and

WHEREAS, the Sandata Documents consist of (i) that certain Settlement Agreement, dated December 21, 1998 and attached hereto as Exhibit A, pursuant to which the Debtors and Sandata agreed to settle a patent infringement action (the "Patent Infringement Action") brought by the Debtors and (ii) a license agreement, also dated December 21, 1998 and attached hereto as Exhibit B, with respect to, inter alia, the patent subject to the Patent Infringement Action; and

WHEREAS, each of the Sandata Documents are subject to confidentiality provisions that prohibit the Debtors from publicly disclosing their contents; and

WHEREAS, the Debtors have produced the Sandata Documents to IVDS pursuant to the Stipulated Protective Order Related to Proof of Claim No. 17022 Filed by Interactive Voice Data Systems, Inc, which was so ordered by the Court on January 11, 2005.

NOW, THEREFORE, IT IS HEREBY STIPULATED AND AGREED UPON, that the Debtors may file (i) the Sandata Documents with the Court under Seal and (ii) a redacted version of the Supplemental Objection, pursuant to which all references to specific provisions of the Sandata Documents shall be redacted.

IT IS SO ORDERED.
