AGREED SCHEDULING ORDER FOR CLAIMS OF GENERAL GROWTH MANAGEMENT, CLAIM NO. 16478

Pursuant to Rule 7026 of the Federal Rules of Bankruptcy Procedure, the following scheduling order shall govern with respect to discovery in this contested matter and/or adversary proceeding. Debtors and General Growth Management agree that entry of this agreed scheduling order is appropriate:

1. On or before February 1, 2004, the Parties shall complete non-expert discovery;

2. On or before February 28, 2004, the Parties shall disclose the identity of any expert witness(es) and provide his/her expert report(s);

3. On or before March 28, 2004, the Parties shall disclose the identity of any rebuttal expert witness(es) and/or provide any rebuttal expert report(s);

4. On or before May 1, 2004, the Parties shall complete expert discovery; and

5. The deadline for filing dispositive motions is June 1, 2004.

6. This matter is set for further hearing before the Court on June 24, 2004, at 10:00 a.m.
