STIPULATION AND CONSENT ORDER RE FURTHER EXTENSION OF TIME FOR UST TO FILE OBJECTION TO FIRST INTERIM FEE APPLICATION OF PILLSBURY WINTHROP SHAW PITTMAN LLP FOR COMPENSATION AS SPECIAL COUNSEL FOR MERRILL COHEN, CHAPTER 7 TRUSTEE


Pillsbury Winthrop Shaw Pittman LLP (hereafter "Applicant"), and the United States Trustee for Region 4, by and through their respective undersigned counsel, have agreed to further extend the time within which the United States Trustee may file any comment, objection or other responsive pleading that he may have to the First Interim Fee Application of Pillsbury Winthrop Shaw Pittman LLP, as Special Counsel for Merrill Cohen, Chapter 7 Trustee, (Dkt. No. 94 in Case No. 09-17634 and Dkt. No. 37 in Case No. 09-18096) (hereafter, "Fee Application"), in order to allow additional time to continue discussions to attempt to resolve amicably certain concerns that have been expressed by the United States Trustee.

Applicant and the United States Trustee have stipulated and agreed that the United States Trustee may have up to and including Monday, February 28, 2011, to file a comment, objection or other responsive pleading to the Fee Application.

WHEREFORE, the parties request that this Court approve and enter this Stipulation and Consent Order.
