ORDER GRANTING FIRST APPLICATION FOR ALLOWANCE OF COMPENSATION AND REIMBURSEMENT OF EXPENSES TO ERNST YOUNG LLP


This matter is before the Court upon the First Application of Ernst Young LLP for Allowance of Compensation and Reimbursement of Expenses filed January 14, 2003 and the Notice thereof dated January 14, 2003. It appearing to the Court that notice was given pursuant to this Court's local rules and there being no objections or responses filed,

IT IS HEREBY ORDERED that Ernst Young LLP shall be allowed interim fees of $87,332.00 and expenses of $1,602.00, for a total interim compensation of $88,934.00 from the bankruptcy estate in connection with their services as Debtors' tax consultants.
