ORDER GRANTING FIRST AND FINAL APPLICATION OF DUANE MORRIS LLP, CO-COUNSEL FOR THE DEBTORS, FOR ALLOWANCE OF COMPENSATION AND REIMBURSEMENT OF EXPENSES


This matter is before the Court upon the First and Final Application of Duane Morris LLP for Allowance of Compensation and Reimbursement of Expenses dated December 19, 2003 (the "Application") and the Notice thereof dated December 19, 2003. It appearing to the court that notice was given pursuant to this Court's local rules and there being no objections or responses filed,

IT IS HEREBY ORDERED that the Application is APPROVED on a final basis.

IT IS FURTHER ORDERED that Duane Morris LLP ("Duane Morris") shall be allowed on a final basis fees in the amount of $26,626.00 and reimbursement of expenses in the amount of $3,399.28 for total compensation of $30,025.28.

IT IS FURTHER ORDERED that the Debtors shall pay Duane Morris the total amount of $30,025.28 for fees and expenses incurred in the representation of the Debtors.

IT IS SO ORDERED
