STIPULATION AND CONSENT ORDER RESOLVING U.S.TRUSTEE'S MOTION TO CONVERT OR DISMISS
The U.S.Trustee moved to convert this case to chapter 7 or dismiss. The debtor has opposed the motion, and taken steps toward curing the grounds thereof. The Debtor and U.S.Trustee have agreed to terms for resolving this motion, set forth below.
The Debtor shall:
1. Maintain timely filing of monthly reports, including a brief narrative statement as to the progress toward refinancing or other reorganization objectives;
2. By May 26, 2008, file a plan and a disclosure statement;
3. Maintain timely payment of quarterly fees due pursuant to 28 U.S.C. Sec. 1930(a)(6).
These terms shall not be construed to preclude the filing of any other motions as appropriate or necessary.
In the event the Debtor does not perform according to these terms, the U.S.Trustee may so certify, and thereupon a hearing shall be scheduled upon notice to all parties in interest to consider the dismissal or conversion of the case for cause under 11 U.S.C. sec. 1112(b).

Finding these terms to be reasonable, and to be without prejudice to modification for good cause shown, it is hereby
ORDERED that this Stipulation is hereby APPROVED, and the U.S.Trustee's motion to dismiss or convert is hereby settled and resolved in accordance with the terms hereof.
