ORDER GRANTING FIFTH AND FINAL APPLICATION OF SUTHERLAND, ASBILL BRENNAN LLP AS SPECIAL ENERGY COUNSEL FOR THE DEBTORS, FOR COMPENSATION AND REIMBURSEMENT OF EXPENSES INCURRED FOR THE PERIOD OCTOBER 29, 2004 THROUGH MAY 1, 2005


Upon consideration of the Fifth and Final Application of Sutherland, Asbill Brennan, L.L.P. ("Sutherland") as for Compensation and Reimbursement of Expenses Incurred for the Period October 29, 2004 Through May 1, 2005 (the "Application"), as special energy counsel to National Energy Gas Transmission, Inc., et al., the debtors and debtors in possession herein (the "Debtors"), and upon the agreement of Sutherland to voluntarily reduce the amout of fees sought by $16,000.00; adequate and proper notice having been circulated and it appearing that the compensation requested in the Application is reasonable and a benefit to these estates, it is by the United States Bankruptcy Court for the District of Maryland, hereby

ORDERED, that the request contained within the Application be, and the same is hereby, approved and allowed as final compensation for the period of October 29, 2004 through May 1, 2005 in the total amount of $1,416,500.24, less the voluntary reduction of $16,000.00, as compensation for services rendered, of which $283,080.83 has been withheld, and $165,494.29 as reimbursement of total expenses; and it is further

ORDERED, that the Debtors be, and hereby are authorized to pay Sutherland $1,096.10 for services rendered and $23,978.48 for disbursements for the period October 29, 2004 through May 1, 2005, which sums represent amounts inadvertently omitted from prior monthly fee statements due to administrative error; and it is further

ORDERED, that the Debtors be, and hereby are, upon entry of this Order, authorized and directed to release and deliver to Sutherland the sums approved above, less the voluntary reduction of $16,000.00, which have not already been paid under the Order Pursuant to 11 U.S.C. §§ 105, 328 and 331 Establishing Procedures For Interim Compensation And Reimbursement Of Professionals entered by this Court on August 7, 2003; and it is further

ORDERED, that the allowance and payment of fees and expenses set forth herein and in all prior interim fee applications for services and expenses that are related to the ET and Quantum Debtor are hereby allowed on a final basis.

SO ORDERED.
