ORDER APPROVING FIRST INTERIM APPLICATIONS OF CERTAIN PROFESSIONALS FOR ALLOWANCE OF FEES AND REIMBURSEMENT OF COSTS


The Court having considered the First Interim Application of Sullivan, Hill, Lewin, Rez Engel ("Sullivan, Hill") for Allowance of Fees and Reimbursement of Costs as Counsel for William A. Leonard, Jr. (the "Trustee"), the Chapter 7 trustee of the bankruptcy estate of National Audit Defense Network (the "Debtor"); the First Interim Application of Douglas Wilson Companies ("DWC") for Allowance of Fees and Reimbursement of Costs as Accounting Professionals for the Trustee; the First Interim Application of Shea Carlyon, Ltd. ("Shea Carlyon") for Allowance of Fees and Reimbursement of Costs as Local Counsel for the Trustee; and the First Interim Application of Santoro, Driggs, Walch, Kearney, Johnson Thompson ("Santoro, Driggs") for Allowance of Fees and Reimbursement of Costs as Special Counsel for the Trustee, came on for hearing on December 21, 2004 at 2:30 p.m. in Courtroom 3 of the above-entitled Court, United States Bankruptcy Judge Bruce A. Markell presiding. All appearances are noted in the Court's minute order for the hearing.

The Court having read and considered the Fee Applications and their supporting papers, and the representations of counsel at the hearing; no oppositions to the Fee Applications having been filed; notice of the Fee Applications appearing proper; and good cause appearing therefor,

IT IS HEREBY ORDERED that the fees and costs of the following professionals are awarded and allowed as Chapter 7 administrative expenses on an interim basis in the amount indicated as follows:

1. Sullivan, Hill (General Bankruptcy Counsel to the Trustee) for the period May 27, 2004 through October 31, 2004:

Fees: $ 178,937.50 Costs: $ 8,777.49 ____________ TOTAL: $ 187,714.99

2. Shea Carlyon (Local Counsel for the Trustee) for the period June 3, 2004 through October 31, 2004:

Fees: $ 39,840.30 Costs: $ 662.70 ___________ TOTAL: $ 40,503.00

3. Douglas Wilson Companies (Accountants for the Trustee) for the period June 1, 2004 through October 31, 2004:

Fees: $ 26,057.50 Costs: $ 215.71 ___________ TOTAL $ 26,273.21

4. Santoro, Driggs (Special Counsel for the Trustee) for the period May 26, 2004 to October 31, 2004:

Fees: $ 17,547.50 Costs: $ 79.24 ___________ TOTAL: $ 17,626.74
IT IS FURTHER ORDERED that the Trustee is authorized to make immediate payment of the fees and costs allowed by this Order from the funds of the Debtor's estate. Such interim payments to the applicants shall be subject to review and approval at the time final fee applications are submitted by applicants, and all such payments are subject to disgorgement.
