STIPULATION AND CONSENT ORDER RESOLVING U.S. TRUSTEE'S MOTION TO CONVERT OR DISMISS


The U.S. Trustee moved to convert the case to chapter 7 for cause or to dismiss. The Debtor has partially cured the grounds for the motion, having filed reports and paid fees. The Debtor and U.S. Trustee are agreed that the Debtor shall file a plan and disclosure statement by October 31, 2008, failing which the case may be converted to chapter 7 without further hearing.

Finding these terms to fairly and reasonably resolve the U.S. Trustee's pending motion (currently set for hearing on October 6, 2008), this Stipulation and Consent Order is hereby APPROVED. The hearing set for October 6, 2008 is hereby CANCELLED.

SO ORDERED
