ORDER GRANTING APPLICATIONS OF ANDREWS KURTH L.L.P.; BLANK ROME LLP; AND CADWALADER, WICKERSHAM TAFT LLP FOR ALLOWANCE OF INTERIM COMPENSATION AND REIMBURSEMENT OF EXPENSES


Upon the Applications for Allowance of Compensation and Reimbursement of Expenses (the "Applications") for professional services rendered and expenses incurred by certain professionals listed on Schedule A(1); and the Fee Committee appointed by the Court, together with its retained professionals, having (1) reviewed the Applications and the respective supporting documentation, (2) met or discussed with the respective applicants the amounts requested and appropriateness of certain of the fees and expenses requested and (3) issued reports with respect to the Applications and the amounts requested therein (each a "Report" and collectively, the "Reports"); and the amounts requested in certain of the Applications having been reduced or deferred on account of issues or positions set forth in the Reports; and notice having been given pursuant to Federal Rules of Bankruptcy Procedure 2002(a)(6) and (c)(2); and a hearing having been held before this Court to consider the Applications on June 23, 2005; and sufficient cause having been shown therefor, it is hereby:

ORDERED that the Applications are GRANTED to the extent set forth in the attached Schedule A.
