ORDER GRANTING (A) APPLICATIONS FOR ALLOWANCE OF INTERIM COMPENSATION AND REIMBURSEMENT OF EXPENSES AND (B) FINAL APPLICATION OF URS CORP. FOR COMPENSATION AND REIMBURSEMENT OF EXPENSES


Upon the (a) Applications for Allowance of Interim Compensation and Reimbursement of Expenses (the "Interim Applications") for professional services rendered and expenses incurred and (b) the First and Final Application of URS Corp., Permitting Consultants for the Debtors, for Allowance of Compensation for Services Rendered and for Reimbursement of Expenses from December 2, 2001 through August, 2002, dated October 17, 2002 (the "URS Application"); and the Fee Committee appointed by the Court, together with its retained professionals, having (1) reviewed the Applications and the respective supporting documentation, (2) met or discussed with the respective applicants the amounts requested and appropriateness of certain of the fees and expenses requested and (3) issued reports with respect to the Applications and the amounts requested therein (the "Reports"); and the amounts requested in certain of the Applications having been reduced or deferred on account of issues or positions set forth in the Reports; and notice having been given pursuant to Federal Rules of Bankruptcy Procedure 2002(a)(6) and (c)(2); and a response having been filed by FTI Consulting, Inc., as Successor to the Business Recovery Services Practice of PricewaterhouseCoopers LLP; and a hearing having been held before this Court to consider the Applications on May 1, 2003; and due consideration having been given to any responses thereto; and sufficient cause having been shown therefore, it is hereby:

The Interim Applications and the URS Application are herein collectively referred to as the "Applications".

ORDERED that the Interim Applications are GRANTED to the extent set forth in the attached Schedule A; and it is further

ORDERED that the URS Application is GRANTED to the extent set forth in Schedule A and no holdback to the fees requested in the URS Application shall be applied.
