ORDER GRANTING MERRILL LYNCH'S MOTION TO WITHDRAW AND SUBSTITUTE COUNSEL


Before the Court is the Motion To Withdraw And Substitute Counsel by Merrill Lynch Co., Inc. and its affiliates ("Merrill Lynch"). After considering the Motion, the Court finds that Merrill Lynch's Motion is well taken and is GRANTED.

THEREFORE, the Court ORDERS that Merrill Lynch is granted leave to substitute James L. Garrity, Jr., Herbert S. Washer, William J.F. Roll, III, Kristen M. Fitzmaurice, and the firm of Shearman Sterling LLP as its counsel of record in substitution for withdrawing counsel Jonathan M. Landers (JL-1468), Robert F. Serio (RS-2479), Marshall R. King (MK-1642), James L. Hallowell (JH-6074), Michael J. Riela (MR-7829) and Michelle M. Craven (MC-8556), and the firm of Gibson, Dunn Crutcher LLP, and that Jonathan M. Landers (JL-1468), Robert F. Serio (RS-2479), Marshall R. King (MK-1642), James L. Hallowell (JH-6074), Michael J. Riela (MR-7829) and Michelle M. Craven (MC-8556), and the firm of Gibson, Dunn Crutcher LLP are hereby withdrawn from these chapter 11 cases and any and all proceedings relating thereto, concerning Merrill Lynch.
