ORDER GRANTING APPLICATION OF INVACARE CORPORATION FOR REIMBURSEMENT OF FEES AND EXPENSES PURSUANT TO 11 U.S.C. § 503(b)(3)(F) AND 503(b)(4)


This matter is presently before the Court on the application (the "Application") of Invacare Corporation, the chair of the Official Committee of Unsecured Creditors (the "Committee") herein, for allowance of compensation and reimbursement of out-of-pocket expenses for professional services rendered by its counsel, in Invacare's capacity as a member and chair of the Committee appointed under 11 U.S.C. § 1102.

It appears to the Court that the Application and notice thereof were filed with the Court on June 6, 2003 and properly noticed to creditors and parties-in-interest.

It further appears to the Court that no objections to the Application were filed by parties-in-interest, and that the Application appears appropriate in all respects, and that no further notice hereof or hearing hereon is required.

It is, accordingly, ORDERED that Invacare's Application for reimbursement of fees and expenses will be and hereby is granted in all respects, and the Debtor is hereby directed to disburse to Invacare the sum of $63,342.91, consisting of fees of Invacare's counsel of $63,250.50 and expenses of $92.41.
