ORDER GRANTING FIRST INTERIM FEE PAYMENT NOTICE OF WALLER LANSDEN DORTCH DAVIS, PLLC FOR THE PERIOD OF AUGUST 7, 2002 THROUGH SEPTEMBER 30, 2002


Waller, Lansden Dortch Davis, a Professional Limited Liability Company ("WLDD"), counsel to The Official Committee of Unsecured Creditors, having submitted its First Interim Fee Payment Notice of Walter Lansden Dortch Davis, PLLC (the "Notice"), on October 30, 2002, notice having been given pursuant to the Administrative Order entered by the Court in this case on August 1, 2002, and no objections having been timely filed and served as shown from the Declaration of Michael R. Paslay filed with this Orders, it is

ORDERED that the Notice is hereby approved for fees of $69,266.88, which amount consists of eighty-five percent (85%) of total fees of $78,314.00, and expenses of $2,699.98, which amount consists of one-hundred percent (100%) of the total expenses incurred by WLDD. American Homepatient, Inc. is directed to make this payment following entry of this Order.

DECLARATION OF MICHAEL R. PASLAY

MICHAEL R. PASLAY states under penalty of perjury as follows

1. I am a member of the firm Waller Lansden Dortch Davis, a Professional Limited Liability Company and counsel of record for the Official Committee of Unsecured Creditors in this Case ("WLDD").

2. On October 30, 2002 I caused to have mailed that certain First Interim Fee Payment Notice of Waller Lansden Dortch Davis, PLLC (the "Notice").

3. Pursuant to the Notice, WLDD sought an interim payment for the period from 08/07/02 to 09/30/02 consisting of total fees of $78,314.00 and expenses of $2,699.98.

4. Eighty-five percent (85%) of fees in the amount of $69,266.88 and one-hundred percent (100%) of expenses is reimbursable pursuant to the Administrative Order entered by this Court on August 1, 2002.

5. Within the fifteen (15) days provided by the Administrative Order, no party objected to the Notice.

6. No party in interest having objected, I ask that the Court enter the Order.

FURTHER DECLARANT SAYETH NOT.
