ORDER


Counsel for defendants Gotham Partners, L.P. and Gotham Partners III, L.P. (together "Gotham") seeks rulings on directions by counsel for plaintiff to plaintiff's chief executive officer not to answer certain questions put to him during his deposition on grounds of work product and attorney-client privilege. The matter has been fully submitted by letters dated September 19 and 22, 2000.

Plaintiff's objections to the questions referenced at paragraphs 1 through 5 and 8 of the letter of Gotham's counsel of September 19, 2000 are sustained. Plaintiff's objections to the questions referenced at paragraphs 6, 7, 9 and 10 are not adequately substantiated and therefore are overruled. The witness shall answer those questions.

SO ORDERED.
