Sestak, Del. Supr., 743 A.2d 180 (1999), and that its Order of January 4, 2000, should be affirmed on the basis of and for reasons assigned in the Order,

NOW, THEREFORE, IT IS HEREBY ORDERED that the judgment of the Court of Chancery be, and the same hereby is AFFIRMED.
