WHEREAS, the plaintiffs Lavinia Dimond, Sara Howard and Tara Calverley filed their First Amended Complaint for Breach of Fiduciary Duty and Constructive Fraud against the defendant Shepherd Raimi on January 23, 2002;

WHEREAS, the parties reached a settlement among themselves, which is documented in the Settlement Agreement and Release;

IT IS HEREBY STIPULATED by and among the parties to this action through their designated counsel that the above-captioned action be and hereby is dismissed with prejudice pursuant to Rule 41(a)(1)(ii) of the Federal Rules of Civil Procedure.
