ORDER
This 13th day of March 2013, after careful consideration of the parties' briefs and the record on appeal, we find it manifest that the judgment below should be affirmed on the basis of the Court of Chancery's well-reasoned, post-trial opinion dated May 22, 2012 and its supplemental order and judgment dated August 2, 2012. To the extent that the issues on appeal are factual, there is sufficient evidence to support the trial court's findings of fact. Moreover, the Court of Chancery did not abuse its discretion by awarding damages and attorney fees.
NOW, THEREFORE, IT IS HEREBY ORDERED that the judgment of the Court of Chancery is AFFIRMED.
