It is ordered that the opinion filed herein on October 21, 2002, and certified for publication, be modified as follows:
On page 2, first paragraph [102 Cal.App.4th 1358, advance report], line 1, replace "respondents" with "appellants."
On page 4, third paragraph [102 Cal.App.4th 1360, advance report, 4th par.], first sentence should read: City of Hope alleged that, in July 1995, Fairfax had been hired to act as an independent confidential monitor to investigate compliance with applicable laws and to develop internal policies relating to compliance.
On page 5, first paragraph, line 5 [102 Cal.App.4th 1361, advance report, 1st par., line 7] should read: (3) that the true purpose of his agreeing to serve as a compliance monitor was to assist the Former Officers in their scheme to discredit City of Hope.
On page 11, third paragraph [102 Cal.App.4th 1366, advance report, 2d par.], lines 1 and 2 should read: About 87 days after Shapero's departure, and at a time when Leeka knew City of Hope's Chairman of the Board of Directors was out of the country, Leeka disclosed his golden parachute contract to another Board member.
On page 12, third paragraph, line 6 [102 Cal.App.4th 1367, advance report, 2d par., line 7], delete the wording: but not Fairfax,
On page 12, fourth paragraph, line 3 [102 Cal.App.4th 1367, advance report, 3d par.], after the sentence "This appeal followed," add new footnote 6: "The Fairfax defendants have not yet appealed."
