JOINT STIPULATION OF VOLUNTARY DISMISSAL WITH PREJUDICE


Plaintiff Cirrus Logic, Inc. ("Cirrus Logic") and Defendant ATI Technologies, Inc. ("ATF'), by and through their respective counsel, pursuant to Federal Rule of Civil Procedure 41(a)(1), hereby stipulate as follows:

1. Cirrus Logic hereby voluntarily dismisses its complaint against ATI with prejudice.

2. ATI hereby voluntarily dismisses its counterclaims against Cirrus Logic with prejudice.

3. The parties agree to bear their own respective costs in this matter, including expenses and attorneys fees.

4. Cirrus Logic and ATI have executed on September 23, 2003, a Patent Sale, Assignment and Cross-License Agreement that sets forth the terms and conditions that are the basis for their decision to file this Stipulation of Voluntary Dismissal With Prejudice. IT IS SO STIPULATED
