AND NOW, this 2nd day of March 2022, in accordance with the accompanying Memorandum, IT IS HEREBY ORDERED that:

1. Defendants' motion to dismiss, Doc. 16, is GRANTED.

2. Plaintiff's complaint, Doc. 1, is DISMISSED with prejudice pursuant to Federal Rule of Civil Procedure 12(b)(6) for failure to state a claim upon which relief can be granted.

3. Plaintiff's motion to amend, Doc. 24, is DENIED.

4. The Clerk of Court is directed to CLOSE this case.
