Defendants having moved, pursuant to Fed.R.Civ.P. 12(b)(6), to dismiss Plaintiff's Complaint for failure to state a claim upon which relief can be granted; and the Court having reviewed the submissions of the parties; and for the reasons set forth in the opinion of even date,

IT IS on this 22nd day of May 2006, ORDERED that Defendants' motion is GRANTED. The Complaint is hereby dismissed with prejudice.
