The law governing the dealings between a corporation and its officers is set forth in Patrons' Mutual Fire Ins. Co. v. Holden, supra; Barth v. Bredshall, 260 Mich. 522, 529. When the validity of such dealings are questioned, the burden of proving their fairness is upon him who seeks rights thereunder.
