4 Citing cases

  1. Nohcra Communications, Inc. v. AM Communications, Inc.

    909 F.2d 1007 (7th Cir. 1990)   Cited 3 times

The majority of cases following Jenkins, both state and federal, have found that a party who terminated a satisfaction contract did so with sincere dissatisfaction. Aster v. BP Oil Corp., 412 F. Supp. 179 (M.D.Pa. 1976), aff'd, 549 F.2d 794 (3d Cir. 1977) (seller of land failed to provide satisfactory sewage system as required by sales contract); Canonsburg Supply Equipment Co. v. John Deere Industrial Equipment Co., 388 F. Supp. 135 (W.D.Pa. 1975) (retail dealer's performance failed to satisfy John Deere); Marine Transport Lines, Inc. v. Publicker International, Inc., 303 F. Supp. 423 (E.D.Pa. 1969) (the cleanliness of tanks in a ship failed to satisfy character's inspector). Indeed, I have found only one Pennsylvania case dealing with satisfaction contracts in which a party's dissatisfaction was held to be in bad faith. In the following case, Commonwealth of Pennsylvania, Department of Property and Supplies v. Berger, 11 Pa.Cmwlth. 332, 312 A.2d 100 (1973), the dissatisfied party deliberately brought about an unsatisfactory situation in an unsuccessful attempt to break a lease.

Finding that conduct must be in "bad faith"

    Simply stated, "clean hands" means good faith. Precision Instrument Mfg. Co. v. Automotive Maintenance Machinery Co., 324 U.S. 806, 814-15, 65 S.Ct. 993, 997, 89 L.Ed. 1381 (1945); Root Ref. Co. v. Universal Oil Products Co., 169 F.2d 514, 541 (3d Cir. 1948), cert. denied, 335 U.S. 912, 69 S.Ct. 481, 93 L.Ed. 444 (1949); Aster v. BP Oil Corp., 412 F. Supp. 179, 190 (M.D.Pa. 1976), aff'd, 549 F.2d 794 (3d Cir. 1977); see also In re Pedrick, 505 Pa. 530, 544, 482 A.2d 215, 222 (1984). Here, the district court specifically found that there was no unethical or fraudulent conduct on the part of the trustees in procuring their appraisal.

Berger, 11 Pa.Cmwlth. 332, 312 A.2d 100 (1973). The parties have stipulated that the above caselaw should be applied by this Court in determining the value of Stern's claim.

  4. Stern v. Vic Snyder, Inc.

325 Pa. Super. 423 (Pa. Super. Ct. 1984)   Cited 15 times

Such a holding has been echoed in numerous cases. See, Aster v. B.P. Oil Corp., 412 F. Supp. 179 (M.D.Pa. 1976); Feinberg v. Automobile Banking Corporation, 353 F. Supp. 508 (E.D.Pa. 1973); Marine Transport Lines, Inc. v. PublickerInternational, Inc., 303 F. Supp. 423 (E.D.Pa. 1969); Commonwealth Department of Prop. Sup. v. Berger, 11 Pa. Commw. 332, 312 A.2d 100 (1973). Since the trial court acknowledged that the requested points accurately reflected the law, it should have so charged.
