ORDER


This cause comes before the Court on Plaintiffs Motion for Order of Foreclosure and Sale Against Defendant The Arnold Group, Inc. (Dkt. 67-2), Plaintiffs Motion for Order of Foreclosure and Sale Against Defendant DBA Marketing, Inc. (Dkt. 70-2), Plaintiffs Motion for Order of Foreclosure and Sale Against Defendant Nahama Limited Co. (Dkt. 73-2), Plaintiffs Motion for Default Judgment Against DBA Marketing, Inc. (Supplement) (Dkt. 91), Plaintiffs Motion for Order of Foreclosure and Sale Against Defendant R.B. Associates, Inc. as Nominee or Alter Ego of Robert B. Arnold (Dkt. 94-2), Plaintiffs Motion for Order of Foreclosure and Sale Against Defendant Multi-Housing of Florida, Inc. as Nominee or Alter Ego of Robert B. Arnold and/or DBA Marketing, Inc. I. Motion to Dismiss Defendants Regency Savings Bank, F.S.B. and Barnett Bank of Marion County, N.A.

Barnett Bank of Marion County, N.A. ("Barnett Bank") was originally named as a defendant in this suit by virtue of promissory notes, mortgages and other interests it held against properties subject to federal tax liens and against which the government seeks foreclosure. In September, 1999, Barnett assigned its interest to Regency Savings Bank, F.S.B. ("Regency"), and Regency was added as a party defendant to this suit by order entered April 20, 2000, (Dkt. 101). On March 30, 2001, the Court granted (Dkt. 184) the Receiver's and Plaintiffs Joint Motion for Order Authorizing Disbursement of Funds and Satisfaction of Mortgage (Dkt. 181).

Plaintiff asserts in the instant motion that the Receiver has satisfied in full Regency's interests. Since Barnett Bank and Regency no longer have an interest in property the subject of this action, Plaintiff argues that the two Defendants should be dismissed from this action. Upon review of the motion and record, the Court finds Plaintiffs motion is due to be granted.

II. Cross-motions for Summary Judgment

The United States moves for summary judgment on Intervenor's Counterclaim (Dkt. 154) based on lack of subject matter jurisdiction and for failure to state a cause of action. Accordingly, Plaintiff seeks dismissal of the Intervenor as a party to this action.

Intervenor's Counterclaim (Dkt. 154) is for enforcement of a real estate purchase contract and recognition of equitable interests in real property. Intervenor alleges that he entered into a contract with Nahama, Ltd. and DBA Marketing, Inc. to purchase twenty-nine parcels of real property — all of which are the subject of the instant lawsuit. Intervenor further alleges that the contract was negotiated at arm's length and for a fair market price. He asserts that the government has benefitted from the appraisals and surveys which were obtained and paid for by Intervenor. In conclusion, Intervenor seeks an order from this Court which allows Intervenor to purchase the twenty-nine properties pursuant to his contract or an equitable award compensating Intervenor for all costs incurred in assessing, appraising, and reviewing the subject twenty-nine parcels.

Intervenor asks this Court to do something which is beyond its authority. Intervenor's Counterclaim essentially asks the Court to force the IRS to discharge the tax liens in order to satisfy a condition precedent to the performance of a contract to which the United States is not a party. The Intervenor has failed to cite a single case or statute tending to show that such a cause of action exits.

Whether the IRS discharges tax liens is purely up to the discretion of the Secretary of the Treasury. See United States v. Williams, 514 U.S. 527, 537 (1995) (stating that discharge pursuant to [26 U.S.C.] § 6325(b)(3) is available only at the government's discretion). Moreover, there is no waiver of the government's sovereign immunity which would allow Intervenor to challenge the denial of a 26 U.S.C. § 6325 (b)(3) discharge of tax liens. Cf. E.J. Freidman Co. v. United States, 6 F.3d 1355, 1359 (9th Cir. 1993) (holding that denial by the Secretary of the Treasury of a § 6352(b) discharge of tax liens was a discretionary act not subject to court review under the Administrative Procedures Act, 5 U.S.C. § 701, et seq.).

Even if the Court did have jurisdiction to enforce the purchase contract, the contract itself (Dkt. 154, Ex.A) contains multiple provisions which defeat Intervenor's claims:

Closing Date: Within 10 days after an agreement with the Internal Revenue Service ("IRS") has been achieved which will allow discharge of the Federal Tax Lien from the Property at closing. . . . (Page 1, unnumbered paragraph).

The costs and expenses of such appraisals shall be borne and paid for solely by Purchaser. (¶ 1.6).

* * *

Due Diligence Period. Purchaser, at Purchaser's sole cost and expense, shall make its various inspections of the Property, review of the books and records concerning the Property and seek its approvals within the Due Diligence Period. (¶ 2.1).

Survey. . . . Purchaser shall obtain at Purchaser's option and expense an updated survey of the Property. (¶ 2.5).

The Tax Lien. It shall be Purchaser's responsibility to seek and obtain a Certificate of Discharge or other release of the Property from the federal tax lien or liens which presently encumber the Property (collectively, the "Tax Lien"). Purchaser, at Purchaser's sole cost and expense, shall use commercially reasonable efforts to obtain an agreement from the IRS which will enable the Property to be released from the Tax Lien by payment of some part or all of the net proceeds of Closing which would otherwise be payable to Seller. Seller shall be obligated to accept such agreement with the IRS so long as the Seller is not required to pay any monies not generated from the Closing of this transaction. By his execution hereof, Purchaser acknowledges and agrees that Seller has disclosed the existence of the Tax Lien and Purchaser recognizes that there is no assurance that the IRS will enter into any agreement as contemplated by this Section 2.8 or allow a discharge or release of the Tax Lien. Seller agrees to cooperate with Purchaser in its efforts under this Section 2.8, subject to the terms and conditions hereof, provided, however, that such cooperation shall be on a reasonable basis and at no additional cost or expense to Seller. (¶ 2.8).
Purchaser's Conditions Precedent. Purchaser's obligations hereunder are subject to the satisfaction of the following conditions precedent and the compliance by Seller with the following covenants:
. . . (b) Purchaser shall have been able to obtain an agreement with the IRS allowing for the discharge and release of the Property from the Tax Lien at Closing in accordance with the basic terms and the provisions of Section 2.8 hereinabove. (¶ 4.1.(b)).

By the terms of the contract itself, the Intervenor understood that the decision whether to discharge the tax liens was discretionary and "that there is no assurance that the IRS will enter into any agreement . . . or allow a discharge or release of the Tax Lien." Contract at ¶ 2.8. Since the contract itself is between the Intervenor, as purchaser, and Nahama Limited and DBA Marketing, Inc., as sellers, the Court would analyze the contract, see that the discharge of the tax lien was an unsatisfied condition precedent to the execution of the contract, and thus deny the enforcement of the sale.

Turning to Intervenor's equitable claims for reimbursement of his costs connected with attempting to obtain the discharge of the tax liens, the contract itself provides that Intervenor, as purchaser, is solely liable for such amounts. Moreover, there is no reason in equity — or otherwise — to lay the burden of paying such costs on the government, even if the Court had the jurisdiction to do so. Intervenor entered into the purchase contract with open eyes. He made a business decision to risk the costs associated with preparing a request for the discharge of the tax lien, knowing that the deal was not a "sure thing." Intervenor took a business risk and lost; it is not the government's burden to insure that loss.

Based on the foregoing, the Court determines that Plaintiffs Motion for Summary Judgment (Dkt. 212) is due to be granted, and Intervenor's Motion for Summary Judgment (Dkt. 221) is due to be denied.

III. Motions for Foreclosure

Defendants Willard M. Arnold and Dorothy N. Arnold are jointly and severally indebted to the Plaintiff for unpaid federal income tax liabilities for the years 1981, 1982, and 1983 in the total amount of $47,805,173.50 as of February 28, 2000, plus statutory interest and additions thereon as allowed by law. Defendant Willard M. Arnold is individually indebted for unpaid federal income tax liabilities for the year 1980 in the total amount of $2,466,125.21 as of February 28, 2000, plus interest and statutory additions thereon as allowed by law. Defendants The Arnold Group, Inc. and DBA Marketing, Inc are jointly and severally indebted to Plaintiff for unpaid federal transferee taxes for the year 1983 and for corporate income taxes for the period ending April 30, 1984, in the amount of $18,222,567.77 as of September 30, 1999, plus further interest and statutory additions thereon as provided by law. Defendant Nahama Limited Company is indebted to Plaintiff for unpaid federal transferee taxes for the years 1980 through 1984 in the amount of $55,077,763.62 as of September 30, 1999, plus further interest and statutory additions thereon as provided by law. Defendant R.B. And Associates is indebted to Plaintiff for unpaid federal income and transferee taxes for the years 1981-1983 in the amount of $7,152,413.51 as of January 31, 2000, plus further interest and statutory additions thereon as provided by law. Defendant Multi-Housing of Florida, Inc. is indebted to Plaintiff for unpaid federal income and transferee taxes for the years 1981-1983 and the period ending April 30, 1984 in the amount of $25,872,520.84 as of January 31, 2000, plus further interest and statutory additions thereon as provided by law.

Upon assessment of the above tax liabilities of the Defendants, federal tax liens arose against the property and rights to property of the Defendants. Plaintiff seeks foreclosure of Defendants' properties listed in Exhibit A to the Amended Complaint, with the exception of Property No. 21.

After filing the instant suit, Plaintiff learned that Property No. 21, the "Evergreen Residence" (at 1723 S.E. 56th Ct. and 5636 S.E. 17th Street, Ocala, Marion County, Florida: Lots 1, 2 and 3, Block "B", Evergreen, according to the plat thereof as recorded in Plat Book "S", Page 94, Public Records of Marion County, Florida), had been sold before the government filed its tax liens against the subject properties. Plaintiff, therefore, has not pursued foreclosure against this property.

Plaintiffs motion is due to be granted. However, Properties No. 1 and 2 have already been sold, See Dkts. 184 237; therefore the Court will exclude these properties — as well as Property 21 — from the foreclosure order. The legal descriptions of the foreclosed properties will be attached to this order as Appendix A. For ease of reference, the Court has maintained the numbering of the properties established in Exhibit A to Plaintiffs Amended Complaint, and for that reason there are no properties in Appendix A numbered 1, 2, or 21.

IV. Receiver's Motion for Private Sale of Property

In his motion, Receiver requests an order allowing the private sale of the receivership property in lieu of a public auction. Receiver's reasons are that a private sale or sales will maximize recovery to the receivership estate and ultimately to Plaintiff and other creditors; private sales will better enable the Receiver to locate qualified buyers and negotiate sales for fair market prices given the locales of the various properties; and a sale at public auction would likely bring "fire sale" prices which would not be in the best interests of the Plaintiff or other creditors.

In support of his motion, the Receiver has submitted the affidavit (Dkt. 173) of Robert G. Beaumont, Jr., a professional appraiser. Beaumont is a member of the Appraisal Institute, a state certified general real estate appraiser, and a licensed real estate broker. In his affidavit, Beaumont opines that the market tends to severely discount a property being sold at public auction, and the Receivership would probably receive a higher sales price if the properties were sold at one or more private sales.

A private sale of realty sold under an order or decree of the Court may be had only after a hearing, after notice to all interested parties. 28 U.S.C. § 2001 (b). Accordingly, the Court has scheduled a hearing for Wednesday, August 20, 2001, to determine whether the foreclosed properties should be sold via public auction or via private sale. Thus, the Court will defer Receiver's motion at this time. A ruling on the motion will be made in due course.

Upon consideration of the foregoing, it is ORDERED:

1. Plaintiffs Motion to Dismiss Defendant Regency Savings Bank, F.S.B. and Defendant Barnett Bank of Marion County, N.A. (Dkt. 239) is GRANTED. Regency Savings Bank, F.S.B. and Barnett Bank of Marion County, N.A. are DISMISSED as defendants in this action inasmuch as the named defendants no longer have a lien upon or claim an interest in property the subject of this action.

2. Plaintiffs Motion for Summary Judgment Dismissing Intervenor-Defendant James Riesenberg's Counterclaim Against Plaintiff (Dkt. 212) is GRANTED. The Clerk is DIRECTED to enter judgment for Plaintiff and against Intervenor James Riesenberg with regard to Intervenor's Counterclaim (Dkt. 154).

3. Intervenor's Motion for Summary Judgment (Dkt. 221) is DENIED.

4. Plaintiffs Motions for Order of Foreclosure and Sale (Dkts. 67-2, 70-2, 73-2, 94-2, 96-2, 109-3) and Plaintiffs Motion for Default Judgment Against DBA Marketing, Inc. (Supplement) (Dkt. 91) are GRANTED. The tax liens of the United States against the real property listed and described in Appendix A to this Order are hereby FORECLOSED.

5. Receiver's Motion for an Order for Leave to Proceed with Private Sales of Defendants' Real Property Assets Pursuant to 28 U.S.C. § 2001 (Dkt. 103) is DEFERRED.

APPENDIX A PROPERTY NO. 3: "MD RTE. 291 AND HIGH STREET EXTENDED"

Real Property titled to DBA MARKETING, INC., consisting of land situated in Kent County, Maryland, described as follows:

All that piece or parcel of land, situate, lying and being on the northeast corner of the intersection of Maryland Route 291 and High Street Extended, Chestertown, Kent County, Maryland, and containing 3.276 acres of land, more or less.

PROPERTY NO. 4: "RADCLIFF INDUSTRIAL PARK (MARSHLAND)"

Real Property titled to DBA MARKETING, INC., consisting of marshland situated in Kent County, Maryland, described as follows:

All that piece or parcel of land referred to as marshland, situate, lying and being westerly of Lots No. 9 and 10 on the Plat identified as Subdivision Plat of Section Two, Radcliff Industrial Park by McCrone, dated June 30, 1986, and recorded among the Plat Records for Kent County, Maryland in Plat Book E.H.P. No. 2, folio 225, containing 24.852 acres of land, more or less.

PROPERTY NO. 5: "RADCLIEF INDUSTRIAL PARK (UNIMPROVED LAND)"

Real Property titled to DBA MARKETING, INC., consisting of unimproved land situated in Kent County, Maryland, described as follows:

All that piece or parcel of land situate, lying and being northerly of Lot No. 8 and Lot No. 9 heretofore referred to and westerly of the Railroad right-of-way containing 53.4 acres of land, more or less, and being all of the remaining lands of Murtaugh Corporation.

PROPERTY NO. 6: "PORTAGE COUNTY, OHIO"

Real Property titled to DBA MARKETING, INC., consisting of three (3) parcels of farmland situated in Portage County, Ohio, described as follows:

PARCEL NO. ONE:

Situated in Lot 37 of Hiram Township, County of Portage, State of Ohio and further described as follows: Beginning at an iron pipe located at the Southwest corner of Lot 37 in said township; thence North 1° 50' 00" East along the West line of said Lot 37 a distance of 2748.48 feet to a point in the center of State Route 82 known as Twinsburg-Warren Road and passing over an iron pipe 60.00 feet from the center of said road; thence South 89° 45' 00" East along the center line of S.R. 82 a distance of 499.40 feet to a point; thence South 1° 50' 00" West and passing over an iron pipe 60.00 feet from the center of the road a distance 2319.00 feet to an iron pipe; thence South 13° 22' 12" West a distance of 446.94 feet to an iron pipe on the South line of Lot 37; thence North 88° 55' 00" West along the South line of said Lot 37 a distance of 409.86 feet to the place of beginning and containing 29.944 acres of land as surveyed by LeRoy M. 2) Parcel 34-22-29-1036-02-040, consisting of thirty two (32) rental apartment units, Lakeview Apartments, 2026-2040 Orange Center Blvd., Orlando, Florida.

3) Parcel 34-22-29-1036-07-070, consisting of six (6) rental apartment units, Savoy ApartmentS, 2016 Orange Center Blvd., Orlando, Florida.
