ORDER


Defendants' motion to dismiss the complaint is granted, substantially for the reasons stated in the report and recommendation of Magistrate Judge Kevin Nathaniel Fox. Although the Court disapproves of the actions of defendants' counsel, largely for the reasons stated by Magistrate Judge Fox, it declines his invitation to commence a sanctions proceeding.

SO ORDERED.
