WHEREAS, the parties seek to clarify the caption of this action to be used in the appeal and cross-appeal now before the United States Court of Appeals for the Second Circuit;

WHEREAS, the Memorandum Opinion rendered by Judge Lewis A. Kaplan on January 21, 2005, and the Judgment entered by the Clerk of the Court February 1, 2005 reflect the parties as: Semi-Tech Litigation, L.L.C., plaintiff and Bankers Trust Company, defendant;

WHEREAS, Plaintiff Semi-Tech Litigation, L.L.C., and Defendant Bankers Trust Company were the only remaining parties to this action when the Memorandum Opinion and Judgment were entered;

WHEREAS, the parties, by their counsel, have agreed that the caption of this action for all purposes in the United States District Court for the Southern District of New York shall be as follows:
