Considering the foregoing;

IT IS ORDERED BY THE COURT that the above and foregoing motion be and the same is hereby GRANTED, and, accordingly:

IT IS ORDERED BY THE COURT that the claim and suit presented by Bruce E. Mayer and Laton Weathersby against Valentine Sugars, Inc. and the United States Fidelity Guaranty Co. be and the same is hereby dismissed, with prejudice and as of compromise, subject to the reservation of rights against others mentioned in the above and foregoing motion.
