STIPULATION AND ORDER OF DISMISSAL


Pursuant to Rule 41(a)(1)(ii) of the Federal Rules of Civil Procedure, the parties, through their respective counsel, stipulate herein to dismiss this action (including all claims and counterclaims) with prejudice in furtherance of the terms of the Agreement executed by the parties on February 12, 2003 ("Agreement") filed herewith, under seal, as Exhibit A. Each party agrees to bear responsibility for the attorneys' fees and costs that it has incurred in this lawsuit. The parties further stipulate, and the Court so orders, that this Court retain continuing and exclusive jurisdiction over any issues arising out of or related to the referenced Agreement, Exhibit A, the terms of which are incorporated herein.

IT IS SO ORDERED.
