CONSENT ORDER ON SUBSTITUTION OF COUNSEL


The undersigned hereby consent and agree that the law firm of Schulte Roth Zabel LLP shall be substituted as attorneys of record for Class Members Cerberus Partners, L.P., Cerberus International Ltd., Cerberus Institutional Partners, L.P. — Series Two, and Cerberus Institutional Partners America L.P. (collectively, the "Cerberus Class Members") in connection with the Cerberus Class Members' Objections to the proposed Supplemental Plan of Allocation (the "Supplemental Plan"), and papers in support thereof, including their Objections and Memorandum in Support of Objections to the proposed Supplemental Plan filed on August 12, 2005, in the above-captioned action in place and stead of Lowenstein Sandler PC, as of the date hereof.
