STIPULATION AND [PROPOSED] ORDER


IT IS HEREBY STIPULATED AND AGREED by and between defendants Citigroup Global Markets Inc. (formerly known as Salomon Smith Barney Inc.) ("CGMI") and Jack Grubman and plaintiffs Kathryn Smith, Thomas Phillips, Sue Phillips, Louis Wheeler, and V. Ann Wheeler, through their undersigned counsel, that the actions captioned Smith, et al. v. Citigroup Global Markets Inc., et al., No. 04 Civ. 3389, and Wheeler, et al. v. Citigroup Global Markets Inc., et al., No. 04 Civ. 5701, are hereby dismissed with prejudice except that Kathryn Smith, Thomas Phillips, Sue Phillips, Louis Wheeler, and V. Ann Wheeler are permitted to remain members of the class in the WorldCom consolidated class action without prejudice as to their rights to recovery for any claims that are brought on behalf of the class.

SO ORDERED.
