ORDER REJECTING SERVICE AGREEMENT FOR SUPPLIER TRANSPORTATION, BALANCING AND AGGREGATION UNDER SERVICE CLASSIFICATION 33 WITH NATIONAL FUEL GAS DISTRIBUTION CORPORATION


Upon the motion ("Motion") of National Fuel Gas Distribution Corporation dated December 7, 2001 regarding a contract with Enron Energy Services, Inc. ("Debtor"), and a hearing having been held on January 3, 2002; and it appearing that the Court has jurisdiction to consider the Motion; and it appearing that the relief requested in the Motion is in the best interests of the Debtor and its estate and creditors; and it appearing that due and appropriate notice of the Motion has been given and no further notice needing to be given; and upon the proceedings before this Court; and good and sufficient cause appearing; it is hereby

ORDERED, that the Contract (as defined in the Motion) is rejected as of December 2, 2001.
