The parties hereto, by their undersigned counsel, having entered into a confidential settlement of the matter captioned above, hereby stipulate pursuant to Rule 41(a)(1)(ii) of the Federal Rules of Civil Procedure that this matter shall be and hereby is dismissed with prejudice, each party to bear its own attorney's fees and costs.

Pursuant to stipulation of the parties, It is hereby ordered that this case is dismissed with prejudice.

IT IS SO ORDERED.
