Plaintiff Rhonda Freeman and Defendant Sun Life Assurance Company of Canada, by and through their respective counsel of record, do hereby stipulate as follows:

1. Counsel represent that they are authorized by their respective clients to enter into this stipulation.

2. This matter shall be dismissed with prejudice in its entirety, including the original claims and the counterclaims that were brought or could have been brought in this action. pursuant to F.R.C.P 41(a)(1).

3. Each party is to bear its own costs of suit and attorney's fees.
