STIPULATION AND ORDER OF CONSOLIDATION


IT IS HEREBY STIPULATED AND ORDERED, by and among the plaintiffs and the defendants in the actions set forth above, that each of the following actions: Fraternity Fund Ltd., et al. v. Beacon Hill Asset Mgmt., LLC, et al., 03-Civ-2387 (LAK)(HBP); Gibraltar Fund I, L.P., et al. v. Beacon Hill Asset Mgmt., LLC, et al., 04-Civ-07900 (LAK)(HBP); and Banca Nazionale Del Lavoro S.p.A. v. Beacon Hill Asset Mgmt., et al., 04-Civ-07944 (LAK)(HBP) (collectively referred to as the "Actions") are consolidated pursuant to Fed.R.Civ.P. 42(a);

IT IS FURTHER STIPULATED AND ORDERED, that the Court's Order dated July 5, 2005 and the Memorandum Opinions dated July 6 and July 11, 2005 shall apply to the claims asserted by all the plaintiffs in the Actions;

IT IS FURTHER STIPULATED AND ORDERED, that while the Court will issue a final judgment in all of the Actions simultaneously, this is without prejudice to each party's right to move at any time prior to such judgment for certification pursuant to 28 U.S.C. § 1292(b) or an order pursuant to Fed.R.Civ.P. Rule 54(b).

SO ORDERED.
