IT IS HEREBY STIPULATED AND AGREED by and between Plaintiff Discovery Communications, Inc. and Defendants The Learning Network, Inc., Pearson plc, Pearson, Inc., Headland Digital Media, Inc., and Philip Hoffman, in the above-captioned action, through their respective undersigned counsel, that this action and all claims and counterclaims filed therein be, and the same hereby are, dismissed with prejudice under Rule 41(a)(1)(ii) of the Federal Rules of Civil Procedure.

The parties shall bear their own costs.

SO ORDERED.
